(First Published December 20, 2015) Request for Proposals McDonald Co. R-I School District, Missouri Bond Underwriting Services Purpose The McDonald Co. R-I School District, Missouri is soliciting proposals from interested firms for the purpose of municipal bond underwriting services in the matter of advance refunding the District's General Obligation Bonds, Series 2013A and issuing Lease Certificates of Participation. Proposal procedure Respondents are requested to submit three (3) sealed copies, marked "Bond Underwriting Services McDonald Co. R-I School District," by 2:00pm on January 6, 2016 to: Dr. Mark A. Stanton Superintendent of Schools McDonald Co. R-I School District 10 Stampede Drive Anderson, Missouri 64831-7305 Proposals by telephone, e-mail, or facsimile will not be accepted. Proposals received after the announced time and date of receipt, by mail or otherwise, will not be considered. Nothing herein is intended to exclude any responsible firm, or in any way restrain or restrict competition. On the contrary, all responsible firms are encouraged to submit proposals. The District reserves the right to award or to reject any or all proposals. To be valid for consideration, proposals must be completed and submitted in accordance with the guidelines set forth in this Request for Proposals. The District assumes no responsibility for any oral instruction, suggestion, or interpretation of this RFP. Any material change will be forwarded to all respondents in the form of a written addendum. Proposals shall not be available for inspection by respondents until the selection is completed. After award of a contract, all proposals shall become a matter of public record and are available for inspection by the general public. Background The District requires professional services solely for municipal bond underwriting for the purpose of advance refunding the District's General Obligation Bonds, Series 2013A and issuing Lease Certificates of Participation to produce upfront funds of approximately $1,000,000 to $3,000,000. The McDonald Co. R-I School District does not require and is not seeking either a municipal advisor or a financial advisor. Firm(s) will be selected as outlined below. Scope of work Prepare, present, and explain multiple options for the refunding of the current bonds held by the District and the issuance of new money lease certificates of participation. Propose final bond refunding and lease financing structures to include the following: Maturity schedule Projected annual principal and interest schedules Optional redemption provisions Provide an itemized list of all fees, charges or costs that may be passed on to the District underwriting fees, original issue discounts, legal fees for bond/special tax counsel, registration with state auditor, paying agent, travel, etc. Assist the District in the arrangement for a negotiated sale. Prepare and distribute closing instructions and provide follow up to allow for questions Coordinate registration of the bonds with the Missouri State Auditor's office Coordinate closing procedures with the District and provide all records pertinent to the administration of the debt service requirements Proposal Format Introduction and comments. Brief history of the firm. Introduction and resumes of key staff to highlight experience in the industry. Total number of General Obligation Bond Issues and Lease Certificates of Participation and total Par Value executed by the firm in the state of Missouri for 2013, 2014 and 2015. Total number of General Obligation Bond and Lease Certificates of Participation Issues and total Par Value executed by the firm in McDonald County and immediately surrounding Counties for 2013, 2014 and 2015. A list of at least three (3) references to include name of business, contact person and phone number. Provide evidence that your firm is an active participant of the E-Verify program and that no unauthorized alien(s) are or will be employed in connection with the services your firm provides to the District. Provide evidence that the agency and persons performing the work for the District maintain all Missouri licenses and/or certifications as required by law. Recommended refunding structure(s) and new money lease repayment program(s), including redemption provisions.
